Traded company

Has different meanings in the Companies Act 2006 depending on its context:
  • For the purposes of Part 13 (Resolutions and meetings), a traded company is a UK incorporated company with its shares admitted to trading on either a UK regulated market or an EU regulated market (section 360C, CA 2006). The shares admitted to trading must carry voting rights at a general meeting. Additionally, these shares must have been admitted to trading by the company itself or with its consent.
  • For the purposes of Part 15 (Accounts and reports), a traded company is a UK incorporated company any of whose transferable securities are admitted to trading on a UK regulated market (section 474, CA 2006).
  • In relation to nomination of a person to enjoy information rights under section 146, a traded company is UK incorporated company with shares admitted to trading on a UK regulated market or an EU regulated market.
  • For the purposes of Part 24 (Annual confirmation of accuracy of information on register), a traded company is, broadly, a company whose shares are, at any time in the confirmation period, admitted to trading on a "relevant market" or any other market which is outside the UK.
