Limits and exclusions of liability in long term contracts

In Fujitsu Services Ltd v IBM United Kingdom Ltd [2014] EWHC 752 (TCC), Carr J in the Technology and Construction Court (TCC) determined the majority of the parties' preliminary issues in favour of IBM. The court preferred IBM's arguments on the effect of partnering obligations, limits of liability, exclusions of liability and the absence of fiduciary duties. However, Fujitsu's claim for an account of profits was not excluded by the contract.
