How do we agree an exception to our standard website terms of use?

Party A has a tick box function on their website that states that anyone proceeding accepts A's Ts&Cs, which stops interested suppliers proceeding to see the matter spec if they don't tick/agree. External to this site, A and Party B have agreed that the Ts&Cs won't apply to B, but that B will still have to use the site and tick the box to look at the relevant matter specs. Is it enough to have a letter agreement setting this out, or will there need to be some sort of termination of B's Ts&Cs each time the tick box is checked to see the matter specs?
