Shared obligations in contracts – implications and pitfalls

  • Why insist on joint and several liability?
  • What’s the risk if I agree to joint and several liability?
  • How do I restrict my liability to just my part of a shared obligation?
  • What is the effect of one person’s death on shared obligations?
  • How can I settle with one co-promisor and still keep my rights against the other(s)?

Keeping up to date with guarantees

  • How can you tell if your surety document is a guarantee or a performance bond?
  • How can you avoid accidentally discharging your guarantee?
  • What have we learned from recent cases?
  • What formalities are still essential to create an enforceable guarantee?
