The Actuarial Profession has published its response to the consultation paper and draft regulations issued by the Department for Work and Pensions (DWP) in July 2007 about the revised framework for calculating cash equivalent transfer values (CETVs) from defined benefit schemes. The DWP plans to implement the regulations in April 2008. These provide for a scheme-specific basis for calculating CETVs. Trustees will have sole responsibility for setting the assumptions used in the calculation of transfer values, and must set these on a "best estimate" basis, after obtaining actuarial advice. The Profession proposes that the Pensions Regulator should issue a code of practice or guidance for trustees and actuaries, designed to help them develop a framework for operating the new system. A working party of the Standards and Practice Committee of the Pensions Board (the Pensions Board) has been set up to prepare a new actuarial practice standard dealing with conflicts of interests for actuaries advising both the employees and trustees of the same pension scheme. The working party will consult on the draft standard later this year, and the new standard will come into force in 2008. The Pensions Board is not considering prohibiting actuaries from accepting appointments from both the trustees and employers of the same scheme. Trustees of pension schemes qualifying for the Financial Assistance Scheme (FAS) are being brought together by the Department for Work and Pensions (DWP) for a series of workshops on changes to the scheme and to ensure members receive payments quickly. The first workshop was held yesterday. It served as an information exchange and to flush out issues of concern to the trustees and the DWP. Further workshops will follow. The government announced last December that the FAS would be extended to guarantee 90% of accrued pension for the 140,000 who have lost their pensions. The pension will be payable from normal pension age subject to a lower age limit of 60 (see Legal update, Government unveils Financial Assistance Scheme improvements and publishes final report of Young review). The DWP is scheduled to outline legislation to give effect to the package. The DWP is urging schemes which have yet to apply for payments or return member information to the FAS to do so quickly. In Kemp v Sims and another [2008] 22 July 2008 (unreported) the High Court has rejected an appeal by the trustee of a final salary scheme insured with Scottish Widows against a determination of the Pensions Ombudsman. The complaint arose after the trustees paid to the sponsoring employer a £75,000 windfall received when Scottish Widows demutualised. The scheme members complained to the Ombudsman, who found the trustees liable for breach of trust. But the Ombudsman relieved four of the five trustees under section 61 of the Trustee Act 1925, on the basis they had acted "honestly and reasonably" (see Determination in complaint by Mr R A J Sims (P00598)). The Ombudsman did not excuse the fifth trustee, Mr Kemp, on the grounds that he had not acted reasonably, and had indirectly benefited from the payment. Mr Kemp appealed to the High Court. The court held that the Ombudsman had been mistaken in finding that Mr Kemp had benefited from the payment, but had correctly treated the demutualisation funds as belonging to the scheme trustees. | 191 | ICAEW publishes conflicts guidance for finance directors The Institute of Chartered Accountants in England and Wales (ICAEW) has published guidance for its members who are finance directors and who have also been appointed trustees of their employer's scheme. The guidance highlights that those in this position face competing fiduciary duties: on the one hand, directors owe duties to their company, its shareholders and their fellow directors; on the other hand, trustees must act in the best interests of scheme members. Given the potential difficulties, many finance directors have resigned as trustees in recent years. But the ICAEW does not endorse this course of action, describing it as a "last resort", and warning that if all finance directors (and those in similar positions) avoided trustee appointments, this would deprive trustee boards of significant financial expertise. Instead, it recommends careful identification and management of conflict situations, and advises that policies should be put in place to govern the extent of information-sharing between the company and trustees and confidentiality agreements should be used among other points. The Regulator's determinations panel made the appointments using its powers contained in section 7 of the Pensions Act 1995. The panel followed the expedited "special procedure" provided in the Pensions Act 2004, and held a private hearing on the morning of 19 October 2007. The appointments follow recent reports that the trustees of the scheme had sought the Regulator's intervention because they were unhappy with the proposed takeover of Telent by pensions buy-out specialist, Pension Corporation, which has now acquired 29% of Telent's shares (see News round-up for the week ending 28 September 2007: GEC pension trustees call for say in takeover bid). Sacker & Partners, legal advisers to the trustees, welcomed the appointment and said that the move would protect the scheme by giving the new independent trustees sole control for six months. | 309 | Pensions Regulator confirms Telent trustees appointments On 8 November 2007, the determinations panel of the Pensions Regulator issued a final notice confirming the appointment of three firms of independent trustees to the Telent Pension Scheme. The initial appointment was made on 19 October 2007 (see Legal update, Pensions Regulator appoints three independent trustees to Telent pension scheme). Given that the appointments were made under the panel's "special procedure", the decision had to be confirmed after the compulsory review process required by section 99 of the Pensions Act 2004 (PA 2004). To this end, a hearing took place on 7 November 2007, at which the new trustees, existing trustees, Telent plc, Pension Corporation and its subsidiary Co-Investment No.5 LP Incorporated were all represented. The panel confirmed the appointments under section 7(3)(c) of the PA 2004, on the basis that the Regulator considers that the appointments are necessary to ensure that the scheme's assets are properly applied. The appointments run until 18 April 2008, and the three new trustees have power to act to the exclusion of the existing Telent trustees. The Pension Protection Fund (PPF) Ombudsman has rejected a complaint by the trustees of the F J Beswick (Paper) Ltd Pension and Life Assurance Scheme in connection with the calculation of the scheme's risk-based levy for 2006/07. The trustees did not provide average age data for the scheme membership in their 2005 annual return to the Pensions Regulator, or before the deadline for submitting additional information of 31 March 2006, and so the PPF used assumed average data by default. This increased the amount of the levy considerably. The trustees complained that they did not appreciate the significance of providing the age data until receiving their levy invoice in December 2006. They then submitted the data five weeks after receiving the invoice, but the PPF refused to adjust the levy calculation. The Ombudsman upheld the PPF's decision to reject the scheme data on the grounds that it was provided too late. | 364 | Regulator and trustee interests are not the same, NAPF warns The NAPF has published its response to the Pensions Regulator's consultation on conflicts of interest. Among the points raised is that trustee interests are not always going to be aligned with those of the Regulator. It is the trustees' responsibility to implement the terms of the trust while complying with relevant legal requirements. The Regulator's objectives include not only protecting members' benefits but also minimising calls on the Pension Protection Fund. This could lead to trustees having a different view to the Regulator on whether a conflict exists, for instance in the area of scheme funding. The NAPF has also criticised the consultation for putting too much emphasis on trustees obtaining legal advice which could make them reluctant to manage conflicts when they are quite capable of doing so. The SPC has also made the same point in its response. Additionally, the SPC has said that the document is lukewarm on senior employees serving on the trustee board, giving the impression that they are an unwelcome presence. While exposed to a greater risk of conflict, senior employees who are trustees, can of course provide a vital function for the scheme by liasing with the employer and driving through difficult trustee and employer proposals.
